Forest Carbon Credit Giveaway Official Rules

NO PURCHASE OR DONATION REQUIRED TO ENTER OR WIN. VOID WHERE PROHIBITED. A PURCHASE OR DONTION WILL NOT INCRASE YOUR LIKELIHOOD OF WINNING. THESE RULES GOVERN ALL ASPECTS OF PARTICIPATION AND PRIZE AWARDS.

1. Introduction. Finite Carbon’s Forest Carbon Credit Giveaway (the “Giveaway”) is sponsored by Finite Carbon Corporation (“Finite Carbon”). One (1) winner will be selected in a random drawing from all entries received. All applicable federal, state, provincial, municipal, territorial, and local laws and regulations apply.

2. Agreement to Official Rules. By entering the Giveaway, you indicate your full and unconditional agreement to (a) these Finite Carbon’s Forest Carbon Credit Giveaway Official Rules (“Official Rules”) and (b) Finite Carbon’s decisions, which are final and binding. Winning the prize is contingent upon fulfilling all the requirements set forth herein.

3. Timing. The Giveaway begins on February 10, 2025, at 12:00 a.m. Mountain Standard Time (“MST”) and ends on February 12, 2025, at 12:00 p.m. MST (the “Entry Period”). Entries received before or after the Entry Period are void.

4. This Giveaway is open to legal residents of the fifty (50) United States and the District of Columbia who are eighteen (18) years or age or older. Residents of Puerto Rico are not eligible. The Giveaway is void where prohibited or restricted by law.

5. How to Enter. During the Entry Period, scan the Quick Response (“QR”) Code available at Finite Carbon’s exhibit booth at GreenBiz 25, and follow the links and instructions to complete and submit the entry. Alternatively, you can enter the Giveaway by visiting https://forms.office.com/r/bkBAHNGrTF during the Entry Period. You will receive one (1) entry into the Giveaway. There is a limit of one (1) entry per person. Any attempt by any entrant to obtain more than the stated number of entries by using multiple/different email addresses, identities, registrations and logins, or any other methods will void that entrant's entry and that entrant may be disqualified. Use of any automated system to participate is prohibited and will result in disqualification.

6. Winner Selection and Notification: On February 13, 2025, Finite Carbon will select one (1) potential winner in a random drawing of all entries during the Entry Period. The odds of being selected depend on the number of entries received. Finite Carbon will attempt to notify the potential winner within ten (10) days of the drawing. If any prize notification is returned as undelivered or if a potential winner (i) cannot be contacted within five (5) days after the first attempt to contact them, (ii) is found ineligible, or (iii) cannot or does not comply with these Official Rules, Finite Carbon will select an alternate potential winner in his/her place at random from all the remaining entries received. The potential winner must respond to the notification within five (5) days with all requested information to confirm eligibility. Potential winners may be required to execute and return an affidavit of eligibility within five (5) days of notification. Noncompliance with this time period may result in disqualification and award of prize to an alternate winner. Finite Carbon will provide the winner with confirmation by email that Finite Carbon retired the applicable carbon credits on the winner’s behalf.

7. Prize. The prize consists of twenty (20) emission reduction carbon credits—equal to the average annual emissions for an individual in the United States—which Finite Carbon will retire on behalf of the Giveaway winner either anonymously or in the winner’s name based on winner’s preference indicated in their entry submission. The value of the prize will vary depending on market conditions but the approximate retail value of the prize during the Entry Period is Three Hundred United States Dollars ($300). The prize is nontransferable, non-exchangeable, and cannot be redeemed for cash or any other alternative. The prize will be awarded “as is.” Finite Carbon reserves the right to substitute a prize of equal or greater value for any reason. Payment or liability for any and all federal, state, provincial, local, or other taxes, duties, tariffs, fees, and charges in connection with the prize and/or this Giveaway is the sole responsibility of the winner. Consult your tax professional with questions regarding potential tax liability.

8. Privacy Policy and Terms of Use. By entering the Giveaway, you agree to allow Finite Carbon to collect, store, and use your personal information for the purposes of administering the Giveaway, contacting the winner, and facilitating the retirement of the carbon credits on the winner’s behalf with the applicable carbon registry. In addition, if you opt-into receiving future marketing communications from Finite Carbon, you agree to allow Finite Carbon to collect, store, and use your personal information for this purpose. All personal data and information will be handled in accordance with Finite Carbon’s Privacy Policy available at https://www.finitecarbon.com/privacy-policy/. By entering the Giveaway, you acknowledge that you have read Finite Carbon’s Privacy Policy and hereby agree to Finite Carbon’s collection and use of your personal information in accordance with such laws and Privacy Policy. In addition, by entering the Giveaway you acknowledge that you have read and accepted Finite Carbon’s Terms of Use available at https://www.finitecarbon.com/terms-of-use/.

9. Release and Limitations of Liability. By participating in the Giveaway, you agree to release and hold harmless Finite Carbon, its parent, subsidiaries, affiliates, and each of their respective officers, directors, employees, and agents (the “Released Parties”) from and against any claim or cause of action arising out of participation in the Giveaway or receipt or use of any prize, including, but not limited to: (a) unauthorized human intervention in the Giveaway; (b) technical errors related to computers, servers, providers, telephones, or network lines; (c) errors in the administration of the Giveaway or the processing of entries; or (d) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Giveaway or receipt or use of any prize. Further, you agree to indemnify the Released Parties from any and all liability arising from the Giveaway. You further agree that in any cause of action, the Released Parties’ liability will be limited to Three Hundred United States Dollars ($300), and in no event shall the Released Parties be liable for attorney’s fees.

10. Additional Terms. Finite Carbon reserves the right to modify or cancel the Giveaway at any time, including if the Giveaway cannot be conducted as planned due to technical issues or unforeseen circumstances. Moreover, Finite Carbon reserves the right to modify these Official Rules for clarification purposes without materially affecting the terms and conditions of the Giveaway. Released Parties are not responsible for telecommunications, network, electronic, technical, or computer failures of any kind, for inaccurate transcription of entry information, for errors in any promotional or marketing materials in these Official Rules, for any human or electronic error, or for entries that are stolen, misdirected, garbled, delayed, lost, late, damaged or returned. The failure of Finite Carbon to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public, enemies, actions of governmental authorities outside of the control of Finite Carbon or other “force majeure” event will not be considered a breach of these Official Rules. Finite Carbon reserves the right to permanently disqualify from the Giveaway any person it believes has violated these Official Rules.

11. Publicity. The winner of the Giveaway hereby grants Finite Carbon the right to use their name, likeness, and any statements made regarding the Giveaway for marketing (including, but not limited to, social media marketing), promotional, and other purposes in any media worldwide and without any compensation, unless prohibited by law.

12. Disputes: You agree that any and all disputes, claims, and causes of action arising out of, or connected with the Giveaway or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the State of Delaware. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, your rights and obligations, or the rights and obligations of Finite Carbon in connection with the Giveaway, shall be governed by, and construed in accordance with, the laws of the State of Delaware, without giving effect to any choice of law or conflict of law rules (whether of the State of Delaware or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Delaware.

13. Disclaimer. EXCEPT AS EXPRESSLY SET FORTH IN THESE OFFICIAL RULES, FINITE CARBON EXPRESSLY DISCLAIMS ANY REPRESENTATIONS OR WARRANTIES, WHETHER WRITTEN OR ORAL, AND WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY REPRESENTATION OR WARRANTY WITH RESPECT TO THE QUALITY, PRICE, OR VALUE OF ANY CARBON OFFSETS OFFERED, AWARDED, AND/OR RETIRED AS PRIZE OR OTHERWISE IN CONNECTION WITH THIS GIVEAWAY.
